Terms of Service

These Terms govern access to Semlens, operated by Invest Ahead Inc., a Canadian federal corporation based in Ontario.

Who these Terms apply to

These Terms form an agreement between you and Semlens and apply when you visit Semlens public pages, create an account, or use a free, Creator, or Studio plan. By using Semlens, you agree to these Terms and the policies linked from them.

If you use Semlens for an organization, you confirm that you have authority to accept these Terms for that organization.

Accounts and eligibility

You must be legally able to enter this agreement. If you are below the age of majority where you live, a parent or legal guardian must agree to these Terms and accept responsibility for your use of Semlens.

You are responsible for accurate account information, activity under your account, and the security of your credentials and linked sign-in methods. Do not share account access in a way that permits unauthorized use. Tell Semlens promptly through the public Contact form if you believe your account has been compromised.

Subscriptions and billing

Semlens offers free preview access and paid Creator and Studio plans. Paid access may be offered monthly or yearly in supported currencies. Current plan details and prices appear on the Pricing page.

Paid subscriptions are purchased through Stripe Checkout and automatically renew for the selected interval until canceled. Stripe handles payment methods, invoices, receipts, billing information, and Customer Portal controls. You authorize the applicable recurring charges, including taxes presented during checkout or billing management.

Active Creator or Studio subscribers may also buy one-time generation credit packs through Stripe Checkout at the prices shown in Account Billing. Purchased credits do not expire, but they can be purchased or used only while an eligible paid subscription is active. If that subscription ends, unused purchased credits become dormant and become available again after an eligible subscription is reactivated.

Additional internal or legacy Stripe plan names may appear in billing records during launch migration, but the public plans offered on the Pricing page are the source of truth for currently sellable Semlens access.

Failed, disputed, reversed, or overdue payments may limit paid access or prevent additional billing changes. Available plan changes and their timing are the options presented through Semlens and Stripe at the time of the request. Semlens does not promise that every upgrade, downgrade, currency change, credit, or proration option will be available.

Refunds and cancellations

You can review available cancellation controls through the Stripe Customer Portal linked from account billing. Unless Stripe shows otherwise or applicable law requires it, cancellation takes effect according to the subscription timing shown in the portal and does not automatically create a refund, credit, or prorated payment.

Refund requests are reviewed case by case through support. The Refund Policy explains how to request review, including the 30-calendar-day review window for annual renewal charges. Eligibility for review does not guarantee approval. Nothing in these Terms limits a refund or cancellation right that cannot legally be waived.

Completed credit-pack purchases are generally non-refundable. If a refund, reversal, or dispute requires Semlens to return a credit-pack payment, the associated purchased credits may be revoked. Credits already spent can leave a negative purchased balance that must be resolved before further platform-funded generation.

User content and permissions

You retain ownership of content you provide or create, including designs, text, uploads, logos, brand assets, saved research, and other workspace material, subject to rights in Semlens templates and third-party material.

You grant Semlens a non-exclusive, worldwide, limited license to store, copy, process, transform, display, export, and publish your content only as needed to operate Semlens, provide features you request, protect the service, and meet applicable legal obligations. This license lasts only as long as reasonably needed for those purposes, including permitted retention described in the Privacy Policy.

You are responsible for your content, source material, instructions, connected accounts, exports, and publications. You must have the rights and permissions needed for everything you submit or direct Semlens to process or publish, and you must review finished work before using it outside the service.

Templates and platform content

Published Semlens templates may be customized inside the service to create designs for your publishing workflow. Subject to your plan access and these Terms, you may use completed exports in that workflow to the extent you have the necessary rights to every component included in the export.

You remain responsible for source material, text, uploads, images, logos, fonts, brand assets, claims, and other content you provide or direct Semlens to use. A customized design may combine your content, Semlens template material, and third-party assets. You receive only the rights available for each component, and Semlens cannot grant rights in third-party material.

Semlens templates, underlying template files, platform content, software, branding, and public gallery previews remain owned by Semlens or its licensors. Customizing or exporting a design does not transfer ownership of those materials. Unless Semlens gives written permission, you may not resell, redistribute, extract, package, or claim an underlying Semlens template or template file as a standalone template product. Public gallery previews are provided for discovery and do not grant copying, extraction, resale, or redistribution rights.

Acceptable use

You must not use Semlens to:

  • Break the law, infringe rights, or publish unlawful content.
  • Harass, defraud, deceive, impersonate, or misrepresent people, organizations, accounts, or source material.
  • Introduce malware, disrupt the service, probe protected systems, bypass access controls, or compromise credentials.
  • Scrape, automate, overload, reverse engineer, or access the service except through interfaces and permissions Semlens makes available.
  • Abuse publishing connections, AI features, MCP access, agents, billing, templates, or another person's account.

AI, agents, and connected services

Optional AI and image-processing features may generate or edit content using your prompts, selected sources, or media. Results may be incomplete, inaccurate, unsuitable, or similar to other outputs. You must review and approve results and remain responsible for how you use them.

MCP access and external agents act through permissions you authorize. You are responsible for agent instructions, approvals, credentials, and resulting actions. Authorization does not guarantee that an action will succeed or that every requested capability is available.

Optional connections such as Google sign-in and Instagram publishing, and providers supporting authentication, billing, hosting, storage, AI processing, RSS, or Reddit sources, operate under their own terms and availability. You direct connection and publishing actions and remain responsible for destination accounts and content. Semlens does not guarantee provider availability, source accuracy, or publication success.

The Privacy Policy explains how information is handled when these features are used.

Service availability and changes

Semlens may perform maintenance, respond to security or provider incidents, and change, add, limit, suspend, or discontinue features. Beta, preview, or experimental features may change or stop without notice and may be less reliable than generally available features.

Semlens may change future pricing or plan features with notice appropriate to the change and applicable law. Changes do not alter charges already completed, and material subscription changes will apply according to the notice and billing terms presented at the time.

Suspension and termination

Semlens may limit, suspend, or terminate access when reasonably necessary to address a Terms violation, nonpayment, fraud, security threat, legal requirement, provider restriction, or risk to Semlens, its users, or third parties. Where practical, Semlens may provide notice or an opportunity to correct the issue.

You may stop using Semlens at any time. Active or problem subscriptions must be resolved through billing before the current account-deletion flow can complete. Deletion removes the account and owned data covered by that flow, but it may not immediately remove billing, provider, backup, shared, public, security, audit, or legally retained records.

Suspension, termination, or deletion does not automatically create a refund. Provisions that by their nature should continue, including ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms, survive termination.

Disclaimers

To the maximum extent permitted by law, Semlens is provided "as is" and "as available." Semlens disclaims implied warranties and conditions, including merchantability, fitness for a particular purpose, title, non-infringement, and that the service will be uninterrupted, secure, error-free, or meet every requirement.

Semlens does not verify or guarantee user content, third-party sources, AI output, research, exports, connected services, or publishing results. You are responsible for editorial, legal, factual, and technical review before relying on or publishing any result.

These disclaimers do not exclude warranties or rights that applicable law does not allow to be excluded.

Liability and indemnity

To the maximum extent permitted by law, Semlens and its directors, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunities, or use of the service.

The total aggregate liability of Semlens arising from or relating to the service or these Terms will not exceed the greater of the amount you paid for Semlens during the 12 months before the event giving rise to the claim or CAD $100. This limit does not apply where liability cannot legally be limited.

To the extent permitted by law, you will defend, indemnify, and hold Semlens harmless from third-party claims, damages, and reasonable costs arising from your content, connected accounts, unlawful use, infringement of another person's rights, or material breach of these Terms. Semlens will give reasonable notice of a covered claim and may control its defence and settlement, provided it does not impose an admission or non-monetary obligation on you without your consent.

Governing law and disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Subject to rights that cannot be waived, the courts located in Toronto, Ontario have exclusive jurisdiction over disputes arising from Semlens or these Terms.

Before starting a formal claim, contact Semlens and provide a reasonable description of the issue so the parties can try to resolve it informally. Nothing in this section prevents either party from seeking urgent injunctive relief or using a process required by applicable consumer law.

Changes to these Terms

Semlens may update these Terms as the service, provider requirements, and legal obligations evolve. The effective date identifies the current published version. Semlens will provide reasonable notice of material changes when required.

Continued use after updated Terms take effect means you accept them where permitted by law. If you do not agree, you must stop using Semlens and cancel any active subscription.
